Terms of Submission and Disclaimer

Thermo Scientific Critical Mass eNewsletter ("Publication") is for the use of individuals ages 18 and older only. By accepting these Terms and submitting, providing, or disclosing any comments, ideas, opinions, stories, concepts, information, or other materials, including without limitation, your name, documents, other properties, views, efforts, trademarks, tradenames, or biographies (collectively, the "Materials") to, on, or in connection with the Publication, you are representing to Thermo Fisher Scientific that:

1. you are an individual 18 years of age or older.

2. you have the legal right to submit the Materials.

3. you give Thermo Fisher Scientific an Irrevocable License described below.

4. you agree to provide the Indemnity described below.

5. you waive any right to inspect or approve the Materials or the uses to which any of those Materials may be put.

6. you agree that Thermo Fisher Scientific has the right, but not the obligation, to delete, move, edit, or refuse to accept or post any Materials or the content thereof at any time for any reason.

7. you understand that all submissions become the property of Thermo Fisher Scientific and no Material will be returned to you.

8. you have read and fully understand the terms of this contract and that you are giving away certain rights to the Materials.

If your submission is selected for publication, as full and just compensation for the rights in the Materials that you are granting to the Licensed Parties below, Thermo Fisher Scientific agrees to provide to you and you agree to accept a Thermo Fisher-branded memento valued at $30.00 or less to be delivered to you after receipt of this signed.

LICENSE. You, as the provider of such Materials, grant, or if you are not the owner of such Materials, you warrant and represent to Thermo Fisher Scientific that the owner of such Materials has expressly granted, to Thermo Fisher Scientific, together with its subsidiaries and affiliates, as well as the employees, agents, licensees, successors, assigns, and those acting with permission from the same or upon the authority of the same (collectively referred to as the "Licensed Parties") in perpetuity the irrevocable right, license, and permission to record, copy, reproduce, adapt, edit, summarize, copyright, publish, photograph, film, televise, exhibit, distribute, license, vend, rent, disseminate, display, perform, and otherwise exploit in any and all markets and media now known or hereafter devised the Materials, in whole or in part for any purpose whatsoever, commercial or otherwise, all without compensation to you, and the Licensed Parties shall have no liability with respect thereto. This grant of rights is made without limitation upon time, circumstances, location, market, or medium of use, and includes, without limitation, all uses of the Materials in and related to television, home video, print, electronic or photo-essay materials or publications, and in all types of advertising and promotion of the foregoing and of the products or services of the Licensed Parties or any of them.

INDEMNITY. RECOGNIZING THE LICENSED PARTIES' RELIANCE UPON THIS AGREEMENT AND THAT THE LICENSED PARTIES ARE PREPARED TO ACT ON THIS AGREEMENT, YOU HEREBY DECLARE IT TO BE IRREVOCABLE, AND YOU HEREBY IRREVOCABLY RELEASE, DISCHARGE, AND AGREE TO INDEMNIFY AND HOLD HARMLESS THE LICENSED PARTIES AND EACH OF THEM FROM AND AGAINST ALL ACTIONS, DAMAGES, COSTS, LIABILITIES, CLAIMS, LOSSES AND EXPENSES OF EVERY TYPE AND DESCRIPTION (INCLUDING ATTORNEYS' FEES AND EXPENSES) TO WHICH THE LICENSED PARTIES OR ANY OF THEM MAY BE SUBJECT AS A RESULT OF OR IN ANY WAY RELATED TO ANY USE OF THE MATERIALS BY ANY OF THE LICENSED PARTIES, INCLUDING, WITHOUT LIMITATION, ANY CLAIM FOR VIOLATION, INFRINGEMENT, OR INVASION OF ANY COPYRIGHT, PATENT, TRADEMARK RIGHT, PRIVACY OR PUBLICITY RIGHT, DEFAMATION OR ANY OTHER RIGHT WHATSOEVER THAT YOU NOW HAVE OR MAY EVER HAVE RESULTING FROM OR RELATING TO ANY SUCH USE OF THE MATERIALS.
